# Data Quality Score for Jira - Software License Agreement

## 1. Grant of License
This Software License Agreement ("License") is entered into between **syswisdom.ai** ("Licensor") and the purchasing organization ("Licensee").
### 1.1 License Grant
Licensor grants Licensee a **non-exclusive, non-transferable, worldwide license** to:
- Install and use the "Data Quality Score for Jira" application ("Software") on their Atlassian Jira Cloud instance(s)
- Access and utilize the Software’s features via a valid Atlassian app license
- Store and analyze data files using the Software's data quality scoring engine
### 1.2 Scope of Use
This license is limited to:
- **Business use only** - For Licensee's internal business operations
- **Jira Cloud only** - Software operates exclusively on Atlassian Jira Cloud (not Jira Server or Data Center)
- **Single organization** - Per purchased subscription/license tier
- **Licensed Users** - Only users covered under a valid Atlassian app license issued via the Atlassian Marketplace

## 2. Restrictions
Licensee agrees **NOT** to:
### 2.1 Prohibited Activities
- **Reverse engineer** or attempt to reverse engineer, decompile, or discover any source code, algorithms, or proprietary methods
- **Redistribute** the Software or provide access to unauthorized parties
- **Modify, adapt, or create derivative works** based on the Software
- **Remove or obscure** any proprietary notices, labels, or marks
- **Use the Software** outside the scope of the licensed organization
- **Access the Software** with expired or invalid credentials
- **Export, re-export, or transfer** the Software in violation of applicable laws
### 2.2 Commercial Restrictions
- No commercial resale or licensing of the Software
- No service bureau, time-sharing, or SaaS offering using this Software
- No creating competing products based on this Software

## 3. Intellectual Property Rights
### 3.1 Ownership
The Software, including but not limited to its code, algorithms, user interface, documentation, and data quality scoring engine, is and remains the exclusive property of Licensor.
### 3.2 Licensee Rights
Licensee retains ownership of data uploaded to the Software. Licensor may use anonymized, aggregated data for service improvement and analytics, but will not share Licensee's uploaded data with third parties.
### 3.3 Third-Party Components
The Software may include third-party libraries and components used under their respective licenses (including open-source licenses). Licensor respects all applicable third-party licenses.

4. Atlassian License Management
4.1 License Ownership
All licenses are issued to the named Licensee organization through the Atlassian Marketplace and are non-transferable, except as permitted under Atlassian’s terms.
4.2 License Responsibilities

Licensee is responsible for ensuring that access to the Software is limited to authorized users within their organization

Licensee must comply with all applicable Atlassian Marketplace terms and conditions

Licensee must promptly address any unauthorized access or misuse of the Software

Licensor reserves the right to restrict or suspend access in accordance with Atlassian policies in cases of misuse or violation of terms
4.3 Usage and Fair Use

Usage of the Software is subject to Atlassian’s licensing model, including user tiering and subscription limits

Excessive or abusive usage that violates Atlassian policies or impacts service performance may result in throttling or suspension

Continued access is contingent upon maintaining an active and valid Atlassian Marketplace subscription

## 5. Limitations of Liability
### 5.1 "As-Is" Disclaimer
**THE SOFTWARE IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND**, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
### 5.2 Limitation of Damages
**IN NO EVENT SHALL LICENSOR BE LIABLE FOR**:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of data, revenue, profits, or business opportunities
- Cost of cover or substitute goods or services
- Even if advised of the possibility of such damages
### 5.3 Liability Cap
Licensor's total liability shall not exceed the amount paid by Licensee for the Software in the 12 months preceding the claim.

## 6. Data Security and Privacy
### 6.1 Data Handling
- Licensee's uploaded data files are processed by Licensor's data quality API
- Data in transit is encrypted using industry-standard TLS/SSL protocols
- Licensor maintains reasonable security measures to protect data
### 6.2 Data Retention
- Licensee data and analysis results are retained according to the service subscription terms
- Licensee may delete their data at any time through app settings
### 6.3 Third-Party APIs
- Analysis results are generated using Licensor's proprietary Data Quality API
- Licensor reserves the right to update or modify API functionality

## 7. Term and Termination
### 7.1 Term
This License begins on the date of activation and continues for the purchased subscription period.
### 7.2 Renewal
The License automatically renews unless either party provides written notice of non-renewal at least 30 days before expiration.
### 7.3 Termination by Licensor
Licensor may terminate this License immediately if:
- Licensee violates any material terms of this Agreement
- Licensee's organization ceases to hold an active Atlassian Jira Cloud license
- Licensee's API key is used in violation of this License
### 7.4 Survival
Sections 3 (Intellectual Property), 5 (Limitations of Liability), and 8 (Governing Law) survive termination.

## 8. Compliance with Atlassian Terms
### 8.1 Atlassian Platform
The Software operates as a Forge app within the Atlassian Jira Cloud ecosystem. Licensee acknowledges and agrees to comply with:
- Atlassian's Cloud Terms of Service
- Atlassian's Forge terms and restrictions
- All applicable Jira Cloud platform requirements
### 8.2 No Modification of Jira
This Software does not modify, extend, or alter the core functionality of Jira Cloud. Licensee agrees not to use the Software to circumvent or bypass Jira Cloud's access controls.

## 9. Support and Updates
### 9.1 Support
Licensor provides support according to the purchased service tier. Support is provided on a best-effort basis.
### 9.2 Updates and Maintenance
- Licensor may update the Software at any time
- Updates may include bug fixes, security patches, and feature enhancements
- Licensor is not obligated to maintain backward compatibility with older API versions
### 9.3 Downtime
Licensor shall not be liable for any service interruptions or downtime beyond Licensor's reasonable control.

## 10. Acceptable Use Policy
Licensee agrees not to use the Software to:
- Upload files containing malware, viruses, or malicious code
- Store or process illegal content
- Conduct phishing, fraud, or illegal activities
- Abuse the service (e.g., DOS attacks, intentional overloading)
- Violate any applicable laws or regulations

## 11. Confidentiality
### 11.1 Confidential Information
Licensor considers the Software and its algorithms proprietary and confidential.
### 11.2 Licensee Confidentiality
Licensee may disclose limited information about the Software's features/functionality for legitimate business purposes, but shall not disclose implementation details or proprietary methods.

## 12. Governing Law
This License Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Licensor is located, without regard to its conflict of law provisions.

## 13. Entire Agreement
This License Agreement constitutes the entire agreement between Licensor and Licensee regarding the Software and supersedes all prior agreements, whether written or oral.
